INVESTOR MEMORANDUM / PITCH DECK PREPARATION

A pitch deck is a brief presentation, used to provide your audience with a quick overview of your business plan. Pitch decks are commonly used during face-to-face or online meetings with potential investors, customers, partners and co-founders.

An investment memorandum (or IM) is a document that highlights the most important aspects and opportunities of your investment. It usually includes more analysis and explanation as compared to a pitch deck.

It is a commonly known fact that investors have very little time. They review hundreds of pitches every year and this means that you really have to make a good impression and make your pitch count, particularly if you are trying to raise a large amount of investment.

At Ethics Plus Consulting, we understand the challenges involved in writing an IM and what is expected out of it and our consultants are involved in structuring, drafting and finalizing the IM along with the business owner / promoter.

DUE DILIGENCE

Ethics Plus Consulting specializes in conducting accounting and financial due diligence on the seller’s financial statements on behalf of the buyer / investor.

We undertake independent buy-side due diligence both on the financial front, as well as commercial/market front. Our pre-deal evaluations cover an initial assessment of the financial/market position of potential acquisition/merger targets. With respect to financial due diligence, we use our financial analysis skills to assess key issues facing the target business by analysing the drivers of its historic and projected profits and cash flows. In any financial due diligence, we focus on the ‘quality’ or sustainability of the company’s earnings and we analyze the financials to identify areas such as non-recurring income and expense items, over-stated or under-stated assets and liabilities, post-closing cost structure changes or even the incorrect application of accounting principles.
